Skyfall Intelligence Agency Inc. — Universal Terms & Conditions (Checkout Agreement)

By completing your purchase, you agree to Skyfall Intelligence Agency Inc.’s Terms & Conditions. These Terms govern all SIA Inc. services, including Buzz by SIA, PMAX Advertising, Social Media Management, and Website Management & Optimization. Only the sections corresponding to the service(s) you purchase apply. All agreements are binding for the selected term and automatically renew unless notice of non-renewal is received within the specified period.

1. GENERAL LEGAL FRAMEWORK

These Terms & Conditions form a legally binding agreement between Skyfall Intelligence Agency Inc. (“SIA Inc.”) and the Client. By purchasing any SIA Inc. product or service, the Client acknowledges that they have read, understood, and agreed to these Terms. The Client agrees to pay all applicable fees and taxes as stated at checkout.

Annual Rate Adjustment:
All fees for Skyfall Intelligence Agency Inc. (“SIA Inc.”) services are subject to a potential annual increase of up to five percent (5%) to account for inflation, market conditions, or increased operational costs. The adjustment, if applied, shall take effect automatically upon renewal of the client’s term and will be reflected in the next billing cycle. Clients will be notified of any change at least thirty (30) days before the new rate takes effect.

All payments are to be made through pre-authorized debit or credit card. Late payments beyond five (5) business days incur a $30 recovery fee and may result in service suspension. Interest at two percent (2.5%) monthly may apply to unpaid balances.

SIA Inc. retains full intellectual property ownership of all designs, materials, and platforms created under these agreements. Clients are granted a limited, non-transferable license to use these materials during the term of their contract.

The Client acknowledges that performance results may vary and that SIA Inc. makes no guarantees regarding rankings, conversions, or advertising outcomes. SIA Inc. shall not be liable for indirect, incidental, or consequential damages. All disputes shall be governed by the laws of Ontario, Canada, within the jurisdiction of the courts of Ottawa.

The parties acknowledge that they have requested this Agreement be drawn up in the English language; les parties reconnaissent qu'elles ont exigé que ce contrat soit rédigé en anglais.

 

2. PRODUCT-SPECIFIC TERMS

A. Spectra by SIA — Reputation & Visibility Platform

The Client subscribes to Spectra by SIA (formally known as Buzz by SIA) for the chosen term (12, 24, or 36 months). The service includes reputation management, business listings, review generation, and visibility enhancement. Early cancellation is not permitted once activated; termination takes effect only at the end of the selected term. Payment is pre-authorized monthly. Any cancellation prior to activation is subject to penalties identical to the original Spectra (Buzz) contract (up to 100% of the first year’s value). All intellectual property and platform rights remain with SIA Inc.

B. PMAX Advertising — Campaign Management

The Client agrees to the management and optimization of PMAX advertising campaigns. The initial term is six (6), twelve (12) months, or twenty-four (24) automatically renewing unless written notice is given forty-five (45) days before renewal to support@skyfallintelligenceagency.com. Early termination within 180 days results in payment of all management fees for that period. Fees may be increased by up to five percent (5%) annually. SIA Inc. monitors campaigns, manages budgets, and provides analytics reports throughout the term. All sales are non-refundable.

C. Social Media Management

Social Media Management includes twenty (20) posts per month across Facebook, Instagram, and Google Business Profile. The Client may choose a six (6)-month or twelve (12)-month term. Buzz by SIA is included at no additional cost. The agreement is non-cancellable before the end of the term. Content ownership and posting rights remain with Skyfall Intelligence Agency Inc. Optional add-ons include PMAX Advertising and Website Management integration. Fees are subject to an annual 5% adjustment upon renewal.

D. Website Management & Optimization

This service provides ongoing website hosting support, security checks, SEO optimization, and optional performance reporting. Two tiers are available: Standard ($350/month) and Advanced ($500/month). The Client commits to the selected term. All technical content, structure, and tools remain the property of SIA Inc. during the service term. Fees may be increased annually by up to 5%.

3. CLIENT ACKNOWLEDGMENT

By checking the 'I agree to the Terms and Conditions' box during checkout, the Client acknowledges having read, understood, and accepted the Terms applicable to their purchased product(s). This acknowledgment forms a legally binding contract between the Client and Skyfall Intelligence Agency Inc. for the selected term(s).

Discount Policy / Promotional Pricing

Promotional Pricing & Discounts

Any promotional pricing, discounted rates, credits, waived fees, bonus services, or special offers provided by SKYFALL INTELLIGENCE AGENCY INC. are strictly limited to a one-time promotional period unless otherwise expressly stated in writing by the Company.

Upon expiration of the promotional period, all services shall automatically revert to the Company’s standard pricing and billing structure then in effect unless an alternative arrangement has been confirmed in writing via official Company email correspondence.

No verbal statements, informal discussions, or implied understandings shall modify, extend, or renew any promotional pricing. Any continued discount, reduced rate, or special pricing arrangement must be expressly approved and documented in writing by an authorized representative of SKYFALL INTELLIGENCE AGENCY INC.

The Company reserves the right to revoke or deny promotional pricing where misuse, chargebacks, payment defaults, or breaches of agreement occur.

4. SKYFALL INTELLIGENCE AGENCY — CANCELLATION & TERM COMMITMENT CLAUSE

Cancellation & Minimum Term Commitment

By subscribing to any Skyfall Intelligence Agency Inc. service — including but not limited to Spectra by SIA, PMAX Advertising Management, Social Media Management, Website Management, Content Creation Packages, and all recurring or subscription-based products — the Client agrees to the following terms:

  1. Minimum Term Requirement
    Each subscription service is subject to a fixed minimum contract term (e.g., 6, 12, 18, 24, or 36 months, depending on the package selected).
    This minimum term is mandatory and cannot be cancelled, paused, or terminated early for any reason other than a mutually signed written agreement with Skyfall Intelligence Agency Inc.

  2. No Early Cancellation
    The Client acknowledges that early cancellation is not permitted.
    Should the Client choose to stop using the service, discontinue participation, or request cancellation before the end of the agreed term, the Client remains fully responsible for 100% of the remaining monthly payments owing for the duration of the term.

  3. Payment of Remainder of Term
    If the Client attempts to cancel before the term end date, the remaining balance of all monthly payments for the rest of the term will become immediately due and payable in full.

  4. Post-Term Cancellation
    After the initial minimum term is fulfilled, all services automatically convert to a month-to-month agreement.
    The Client may cancel at any time thereafter by providing 45 days written notice to Skyfall Intelligence Agency Inc.

  5. No Refunds
    Payments made toward any Skyfall subscription service — whether monthly, prepaid, or otherwise — are non-refundable.

  6. Binding Agreement
    By subscribing to any Skyfall Intelligence Agency Inc. product or service, the Client acknowledges and agrees to this cancellation policy in full.
