By enrolling in the Skyfall Operator Program, you acknowledge and agree to the following:

1. Program & Services

The Skyfall Operator Program provides education, coaching, mentorship, sales training, skill development, and career-development opportunities.

2. No Guarantee of Outcomes

Skyfall Intelligence Agency Inc. does not guarantee employment, job placement, income, earnings, commissions, certifications, business success, client acquisition, or any specific financial outcome. Individual results vary based on effort, consistency, skill development, market conditions, and other factors outside of Skyfall's control. All sales are final.

3. Refunds, Cancellation & Payments

One (1) day cancellation window. The participant may cancel their enrollment and subscription within one (1) calendar day of signing this agreement and making their initial payment. To cancel within this window, the participant must notify Skyfall in writing at support@skyfallintelligenceagency.com before the one (1) day period ends. If cancelled within this window, the participant's recurring subscription will be stopped.

After the one (1) day window, all payments are final and non-refundable. The initial deposit is non-refundable. Once the one (1) day cancellation window has passed, the participant is fully committed to the program and the selected enrollment plan. The initial deposit and any payments made are non-refundable, and no refunds, chargebacks, credits, or cancellations will be provided — including for partially completed training, missed coaching calls, unused community access, inactivity, or failure to achieve a desired outcome — except where required by applicable law.

For installment and subscription plans, after the one (1) day window the participant remains responsible for all scheduled payments associated with the selected enrollment option unless otherwise required by applicable law.

4. Intellectual Property

Program materials, training content, scripts, SOPs, recordings, frameworks, documents, templates, intellectual property, and proprietary information remain the exclusive property of Skyfall Intelligence Agency Inc. and may not be copied, distributed, shared, reproduced, sold, licensed, published, or disclosed without prior written authorization.

5. Program Rules & Conduct

By accessing the community, training, coaching calls, and program materials, you agree to comply with all program rules, policies, standards, and community guidelines established by Skyfall Intelligence Agency Inc.

6. Relationship of the Parties

Enrollment in the Skyfall Operator Program does not create an employment relationship, partnership, agency relationship, joint venture, or guarantee of future work between the participant and Skyfall Intelligence Agency Inc. Any future opportunities, contracts, referrals, leadership positions, or sales opportunities are evaluated separately and are not guaranteed.

7. Acknowledgment of Understanding

The participant acknowledges that they have had the opportunity to ask questions regarding the program, payment terms, career opportunities, expected outcomes, and program requirements prior to enrollment.

8. Recording & Quality Assurance

The participant further acknowledges that enrollment discussions, coaching sessions, training calls, workshops, community activities, and other program-related interactions may be recorded for quality assurance, compliance, educational, training, operational, and business purposes.

9. Tuition Rebate Program Terms

The tuition rebate program is an optional performance incentive offered at Skyfall's sole discretion. Rebates are not guaranteed and are earned only by meeting all of the conditions below. Nothing in this program constitutes a promise of income, earnings, or financial outcome.

Eligibility conditions (all must be met):

(a) Qualifying enrollment. The participant must be enrolled on a twelve (12) month payment term at a minimum of eight hundred US dollars (US$800) per month, and must remain actively enrolled and participating for the full twelve (12) month term.

(b) Milestone window. The participant has four (4) months from the date of their initial payment to achieve the stated sales milestones. Milestones achieved after this four (4) month window do not qualify for any rebate.

(c) Rebate crediting / no clawback protection. Any earned rebate is credited at month six (6) of the participant's active, paid enrollment. This timing protects both parties against clawbacks; no rebate is paid, credited, or owed before month six (6), and only to participants in good standing at that time.

(d) Payments in good standing. The participant's account must be current and in good standing at all times. If any payment is late, missed, declined, reversed, charged back, or in default — even for a single day — eligibility for all rebates (earned or pending) is permanently forfeited.

(e) Standard checkout required. Rebates apply only to participants who enroll and pay through Skyfall's standard website checkout at the standard published pricing. Participants who enroll through any non-standard method, or who are provided special, promotional, discounted, negotiated, or custom pricing, are not eligible for any tuition rebate.

(f) Discretion & modification. Skyfall reserves the right to verify all qualifying sales, to determine in good faith whether milestones and conditions have been met, and to modify, suspend, or discontinue the rebate program prospectively. Rebates are non-transferable and have no cash value except as expressly described here. The participant continues to earn any applicable residual commission on qualifying business separately from, and in addition to, the rebate, subject to the residual terms.

10. Non-Compete & Non-Solicitation

During enrollment in the Skyfall Operator Program and for a period of twelve (12) months following the participant's completion, graduation, withdrawal, or termination from the program, the participant agrees that they will not, directly or indirectly: (a) create, launch, operate, promote, or sell any program, course, training, coaching, or service that is substantially similar to or competitive with the Skyfall Operator Program using Skyfall's proprietary frameworks, scripts, SOPs, methodologies, or confidential materials; (b) solicit, recruit, or divert any Skyfall client, customer, team member, contractor, partner, or active prospect with whom the participant gained contact or knowledge through the program, for the benefit of themselves or any competing person or entity; or (c) use Skyfall's confidential information, proprietary systems, or trade secrets to compete with Skyfall or to assist any third party in doing so.

This section does not prohibit the participant from working as a sales professional, closer, setter, or operator for any company, nor from earning a living using general sales skills. It is intended solely to protect Skyfall's confidential materials, proprietary methods, relationships, and goodwill. The participant agrees that the restrictions in this section are reasonable in scope, duration, and geography. If any portion of this section is found unenforceable by a court of competent jurisdiction, that portion shall be modified to the minimum extent necessary to make it enforceable, and the remainder shall remain in full force and effect.

11. Chargebacks & Payment Disputes

By enrolling, the participant agrees not to initiate any chargeback, payment reversal, or billing dispute that is inconsistent with this agreement. Because the participant has agreed that all payments are final and non-refundable after the one (1) day cancellation window, any chargeback or reversal filed in violation of these terms shall be considered a breach of contract. The participant agrees to be responsible for any fees, costs, and reasonable attorneys' fees Skyfall incurs in responding to a wrongful chargeback, and Skyfall may pursue collection of all amounts owed and suspend access to the program.

12. Taxes & Fees

All pricing is stated in US dollars (USD) unless otherwise specified. The participant is solely responsible for any applicable taxes, duties, currency-conversion charges, bank fees, or payment-processor fees associated with their payments. The participant is responsible for reporting and remitting any taxes owed on rebates, commissions, or income in their own jurisdiction.

13. Limitation of Liability & Indemnification

To the maximum extent permitted by applicable law, Skyfall Intelligence Agency Inc., its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any lost profits, lost income, or lost opportunities, arising out of or relating to the program. In all cases, Skyfall's total aggregate liability shall not exceed the total amount actually paid by the participant to Skyfall. The participant agrees to indemnify and hold Skyfall harmless from any claims, losses, or damages arising from the participant's breach of this agreement, misuse of program materials, or sales activities conducted on behalf of any party.

14. Governing Law & Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The participant agrees that, subject to Section 15, the courts located in Ontario, Canada shall have exclusive jurisdiction and venue over any dispute not subject to arbitration. This agreement applies to participants in the United States, Canada, and internationally; where mandatory local consumer-protection laws apply to a participant, those laws apply only to the minimum extent legally required, and all remaining provisions continue in full force.

15. Dispute Resolution & Arbitration

The parties agree to first attempt to resolve any dispute informally in good faith. Any dispute that cannot be resolved informally shall be resolved by final and binding arbitration administered on an individual basis, rather than in court, except that either party may seek injunctive relief for misuse of intellectual property or breach of confidentiality. The participant agrees to resolve disputes on an individual basis and waives any right to participate in a class action, class arbitration, or representative proceeding, to the maximum extent permitted by law. This section does not deprive a participant of any non-waivable right under mandatory local law.

16. Severability & Entire Agreement

If any provision of this agreement is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary or severed, and the remaining provisions shall remain in full force and effect. This agreement, together with any checkout terms and program policies, constitutes the entire agreement between the parties and supersedes all prior discussions, representations, or marketing statements. No verbal promise, income claim, or representation not contained in this written agreement is binding on Skyfall.

17. Acceptance

By continuing to access and participate in the Skyfall Operator Program, you acknowledge your acceptance of these terms and your commitment to act in accordance with all program expectations.

18. Electronic Signature

By checking the box below and typing your full legal name, you agree that your typed name is your legal electronic signature, that you have read and understood this agreement in its entirety, and that you intend to be legally bound by it — with the same effect as a handwritten signature.
